Competitive Displacement Promotion Details
1. Promotion Overview and Structure
  • Cornerstone will provide approved customers with a credit equal to the Period 1 Software subscription fees only under a new Cornerstone Master Agreement and Order Form in relation to the competitive solution displacement (“Cornerstone Agreement”).
  • Professional services, implementation fees, travel, and out-of-pocket expenses are excluded and not eligible for the credit.
  • The credit will be applied during the Initial Term of the Cornerstone Order Form.
  • The credit is not a cash payment, reimbursement, or payment to any third party on customer's behalf.
  • If applicable, the credit will be reduced by any refund, credit, or compensation received by customer from its previous software provider upon exit or termination of such agreement.
  • One (1) Promotion credit per customer entity (at parent level) per Promotion Period – credit cannot be assigned or transferred to another entity.
  • The Promotion cannot be combined with other special offers or pricing.
2. Customer Eligibility
To qualify for the Promotion the customer must:
  • be a net-new Cornerstone customer located within the United States actively using a qualifying competitor solution;
  • have a valid, binding agreement with a qualifying competitor for a competitive solution;
  • have a license volume of at least 1,000 users under its current agreement; and
  • be able to transition from its current software provider via lawful means and without breaching its agreement.
3. Cornerstone Contract Requirements
  • Customer must execute a new Cornerstone Agreement, without material modifications to the standard form.
  • The Cornerstone Order Form must be for a minimum initial term of 36 months, at least 1,000 licensed users, and with no right to early termination or termination for convenience.
  • The sale must be processed through an authorized Cornerstone sales representative; promotion not available for purchases through Cornerstone resellers or other channel partners.
4. Timing and Deadlines
  • The Promotion will not be applied retroactively to previously executed agreements or deals where parties had materially committed to terms prior to Promotion rollout.
  • Deal-specific deadlines may apply as communicated by the Cornerstone sales representative.
  • Cornerstone reserves the right to introduce an expiration date to the Promotion.
5. Legal
  • The Promotion is offered at Cornerstone's sole discretion as a commercial incentive.
  • The Promotion does not constitute a guarantee of pricing, a binding commitment to cover third-party contract costs, or legal advice regarding obligations under any existing agreement.
  • Nothing herein is intended to encourage, induce, or facilitate a breach of any existing agreement.
  • Cornerstone is not requesting and shall not request, encourage, or accept information that a customer is contractually prohibited from disclosing regarding its current software provider or agreement.
  • The Promotion is available in the United States only.
  • The Promotion is governed by California Law.
